1. Agreement to Terms

By accessing or using the Tote-Pilot application, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Use of Service

You must be at least 13 years old to use this service. You are responsible for maintaining the security of your account and password. Tote-Pilot cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

3. Subscriptions and Payments

• Merchant of Record: Our order process is conducted by our online reseller Lemon Squeezy. Lemon Squeezy is the Merchant of Record for all our orders. All billing and transaction disputes are handled by Lemon Squeezy.
• Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually) depending on your plan. Your subscription will automatically renew at the end of each billing cycle unless cancelled.
• Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, your subscription will remain active until the end of your current paid billing period.
• No Refunds: All sales are final. We do not offer refunds for partial months or unused service. If you cancel your subscription, you will continue to have access to the service until the end of your current billing period, after which you will be downgraded to the free tier.

4. User Content

You retain all rights to any data, text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content") that you upload, post, or store using the Service.

Prohibited Content: You agree not to upload any Content that is illegal, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable. Since our service utilizes third-party AI for image analysis, we strictly prohibit uploading images of child sexual abuse material (CSAM) or any content that violates applicable laws. We reserve the right to ban users and report illegal content to authorities.

You grant Tote-Pilot a worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works (such as AI-generated tags), communicate, display and distribute such Content for the limited purpose of operating and improving our Services. This license is strictly limited to providing the service to you and does not grant us the right to sell your content or use it for marketing purposes without your explicit consent.

5. AI Services and Disclaimers

Our Service utilizes artificial intelligence technologies (including Google Gemini) to provide features such as automatic item categorization and description generation.

• No Guarantee of Accuracy: AI technology is probabilistic and may produce inaccurate or misleading results. You acknowledge that tags, descriptions, and categories generated by the system may be incorrect. You are responsible for verifying all AI-generated information.
• Service Availability: We do not guarantee that AI features will always be available or error-free.

6. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7. Limitation of Liability

In no event shall Tote-Pilot, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.
